Terms of Service

These Terms govern your access to, usage of all content, products and Services available at the Environmental Technology, LLC website (the "Service") operated by Environmental Technology, LLC ("us", "we", or "our"). These terms also cover the provision of environmental technology services, including project timelines, payment terms, and client responsibilities.

Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules and policies published and that may be published from time to time by us. This includes any separate Master Service Agreement (MSA) or Statement of Work (SOW) you may enter into with us.

Intellectual Property

The Agreement does not transfer from Us to you any of Ours or third party intellectual property. All right, title, and interest in and to such property will remain (as between the parties) solely with Environmental Technology, LLC and its licensors. Any monitoring system designs, assessment methodologies, reports, or technical deliverables developed by us remain our intellectual property until full payment for the relevant service period is received. Client-provided materials and site data remain the property of the client.

Environmental Technology Services

The specific services, deliverables, timelines, and payment terms will be outlined in a formal Statement of Work (SOW) agreed upon by both parties. The client agrees to provide timely access to necessary sites, monitoring equipment, regulatory documentation, and feedback required for us to perform our services effectively. Delays in providing these may impact project timelines and compliance milestones.

Payment Terms

Fees for services will be billed as specified in the SOW, typically on a project-based or monthly retainer basis, payable as stated on the invoice. All payments are due within the timeframe specified on the invoice. We reserve the right to suspend services for overdue accounts. Third-party laboratory, permitting, and equipment costs are billed separately as outlined in the SOW and are distinct from our professional service fees.

Termination

Either party may terminate the service agreement with a written notice period as defined in the SOW (typically 30 days). We may terminate or suspend your access to all or any part of our Services immediately for a material breach of these terms, including non-payment. All provisions of the Agreement which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

Our Services are provided "AS IS" and "AS AVAILABLE". Environmental Technology, LLC and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability and fitness for a particular purpose. While we strive for excellence, we do not guarantee specific environmental outcomes, regulatory approvals, or emissions reductions, as these are subject to factors beyond our direct control, such as site conditions, regulatory changes, and client operational practices.

Jurisdiction and Applicable Law

Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of the State of Missouri. The proper venue for any disputes will be the state and federal courts located in Kansas City, Missouri.

Changes

Environmental Technology, LLC reserves the right, at our sole discretion, to modify or replace these Terms at any time. If we make changes that are material, we will let you know by posting on our website, or by sending you an email or other communication before the changes take effect. Your continued use of our Services after such changes will be subject to the new terms.
